1. What this Service is

Vield provides a BTC Safekeeping Service that allows you to store Bitcoin (BTC) in a wallet created and maintained through Zodia’s custody infrastructure. The Service is designed for secure storage and operational administration, including account management and related support functions.

2. What this Service is not

This Service is not:

  • a bank account, deposit account, or savings product;
  • a managed investment scheme, fund, or investment product;
  • a facility for earning interest, yield, rewards, or returns;
  • a trading, exchange, or execution service; or
  • financial product advice.

Vield does not provide financial, investment, tax or legal advice. You should obtain independent advice if needed.

3. Relationship and ownership of your BTC

  • You remain the beneficial owner of your BTC at all times.
  • Vield does not use your BTC for its own purposes (for example, no lending, staking, rehypothecation, or pledging).
  • The Service is a safekeeping/administration arrangement under contract terms. It is not a trust or deposit relationship.

4. Zodia custody infrastructure and third-party dependency

  • Wallet infrastructure for the Service is provided through Zodia.
  • Because the Service relies on third-party systems (including Zodia), you acknowledge that service availability, processing times, and operational constraints may be affected by third-party outages, security controls, cut-off times, or incidents.

5. Fees and how you may pay them

The Service is free of charge through 31 December 2026.

From 1 January 2027, an annual safekeeping fee applies (see the Fee Schedule in the T&Cs). The fee is based on the AUD value of the BTC you hold under safekeeping (Safekeeping Balance Value):

  • Safekeeping Balance Value of AUD 5,000,000 or less: a flat fee of AUD 800 per year.
  • Safekeeping Balance Value above AUD 5,000,000: an annual fee charged at a rate of 0.25% per annum applied to the Safekeeping Balance Value, valued at the time of deposit.

Borrower Loyalty Benefit: if you have held a loan with Vield at any point, the percentage-based rate above may reduce by 0.02% per year for each qualifying year, as determined and notified by Vield. The Borrower Loyalty Benefit reduces the percentage rate only and does not apply to the flat AUD 800 fee.

Annual review: because custody infrastructure is provided through Zodia, Vield may review and adjust the Fee Schedule on 1 January each year to reflect changes in the underlying institutional custodian or infrastructure costs. Vield will give at least 30 days’ advance written notice before any such adjustment takes effect.

You may be able to pay fees in one of the following ways (as offered on the Platform):

Option A — Pay in AUD:

You pay the fee in AUD (for example, by invoice and/or other payment method enabled on the Platform).

Option B — Pay by BTC deduction (AUD equivalent):

BTC deduction is the default payment method. If this method applies, the BTC amount deducted from your safely kept balance will be calculated as the AUD fee equivalent using a defined BTC/AUD pricing source at a defined valuation time (as specified in the Fee Schedule). Different pricing sources or valuation times can result in different BTC amounts for the same AUD fee.

Important: Paying fees by BTC deduction may have tax consequences (for example, it may constitute a disposal event). You should obtain your own tax advice.

6. Deposits, withdrawals, and possible delays/holds

  • Withdrawals are subject to security checks and operational procedures.
  • Vield may delay, restrict, or refuse processing where reasonably necessary to comply with law (including AML/CTF and sanctions obligations), to respond to suspected fraud or account compromise, or to manage operational/security risk.
  • Blockchain transactions can be delayed due to network congestion, and fees can vary materially.

7. Key risks you should understand

BTC price and market risk

BTC is volatile and may lose value significantly.

Blockchain and transaction risk

Blockchain transfers are generally irreversible. If you provide an incorrect address or use an incorrect network, your BTC may be irrecoverable.

Technology and cyber risk

Cyberattacks, malware, phishing, SIM swap, and account takeover events can occur. You are responsible for maintaining strong account security and following security requirements.

Third-party provider risk

The Service relies on Zodia and other third parties. Outages or incidents affecting third parties may impact your ability to access or withdraw BTC in the short term.

Network congestion and fee risk

Withdrawal times may be delayed and network fees may spike during congestion.

Regulatory change risk

Digital asset regulation is evolving. Legal or regulatory change may require Vield to update terms, impose additional controls, restrict services, or migrate the Service to a new framework.

Fork / protocol event risk

Protocol changes or unusual network events may require temporary suspension of deposits or withdrawals for security reasons.

8. No guarantee and no insurance representation

Vield does not guarantee uninterrupted access to the Service or any particular withdrawal processing time. Unless expressly stated in writing, Vield does not represent that losses are insured or recoverable.

9. Your responsibilities

You are responsible for:

  • maintaining account security (including enabling and using multi-factor authentication);
  • ensuring withdrawal details (addresses/networks) are correct;
  • providing information requested for AML/CTF and sanctions compliance (including source of funds/wealth where required); and
  • reading the T&Cs and Fee Schedule before using the Service.
